1. Acceptance of Terms

By accessing and using CertoFlow, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use our service. These terms apply to all users of the service, including visitors, registered users, and subscribers.

2. Description of Service

CertoFlow is an AI-assisted project quoting software designed for freelancers, consultants, and service professionals. Our service helps users create accurate project quotes, manage cost books, track client information, customize branding, and generate professional PDF estimates. CertoFlow is a quoting and estimation tool, not a comprehensive business management system or CRM replacement. We provide both a free trial period and paid subscription plans.

3. Account Registration and Security

To access certain features of CertoFlow, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

4. Free Trial and Subscription Terms

We offer a 14-day free trial with full access to all features. After the trial period:

• You may subscribe to continue using the service at $19.99/month (or as displayed on our pricing page)
• Subscriptions are billed monthly in advance via our secure payment processor
• You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of your current billing period
• No refunds are provided for any subscription payments. The 14-day free trial with full feature access is provided to allow you to thoroughly evaluate the service before committing to a paid subscription. Once you subscribe and payment is processed, all payments are final and non-refundable, except where prohibited by applicable consumer protection laws.
• We reserve the right to change pricing with at least 30 days advance notice to existing subscribers
• Failure to pay subscription fees may result in suspension or termination of your account

5. Acceptable Use Policy

You agree to use CertoFlow only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the service for any unlawful purpose or to solicit others to perform unlawful acts
• Violate any applicable laws, regulations, or rules
• Infringe upon or violate our intellectual property rights or the intellectual property rights of others
• Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• Submit false or misleading information
• Upload or transmit viruses or any other type of malicious code
• Attempt to gain unauthorized access to any portion of the service, other users' accounts, or our systems
• Use automated systems (bots, scrapers) to access the service without permission

6. User Content and Data Ownership

You retain all rights to the content you create using CertoFlow, including:

• Project quotes and estimates
• Client information and contact details
• Cost book entries and pricing data
• Branding materials and logos
• Any other data you input into the system

We do not claim ownership of your content. You are solely responsible for your content and the consequences of posting or publishing it. We reserve the right to remove content that violates these terms.

7. Intellectual Property Rights

The CertoFlow service, including its original content, features, and functionality, is and will remain the exclusive property of CertoFlow and its licensors. The service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

8. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information when you use our service. By using our service, you agree to the collection and use of information in accordance with our Privacy Policy.

9. Service Availability and Modifications

We strive to provide continuous service availability but cannot guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue the service at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the service.

10. Limitation of Liability

In no event shall CertoFlow, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the service.

11. Disclaimers

The service is provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Termination

We may terminate or suspend your account and bar access to the service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
